Terms of Service

1. Agreement to Terms
By accessing or using the Curia platform ("Service") operated by Curia Legal Technology Inc. ("Curia," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Curia.
2. Description of Service
Curia is a legal research and document analysis platform designed for Canadian legal professionals. The Service provides tools for case law research, document analysis, memo and draft generation, judge intelligence, and related functionality. The Service uses automated systems, including third-party language models and search technologies, to process your queries and generate results.
3. Not Legal Advice
The Service is a research tool intended to assist legal professionals in their work. Curia does not provide legal advice, legal opinions, or legal representation. All results, analyses, memos, and outputs generated by the Service are for informational and research purposes only. You are solely responsible for independently verifying all information, case citations, and legal analysis before relying on them in any professional or legal context.
While we strive for accuracy, automated systems may produce errors, omissions, or outdated information. You should exercise professional judgment and conduct independent verification before using any output from the Service in legal proceedings, client communications, or professional work product.
4. Account Registration
To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
5. Free Trial and Credits
We provide complimentary credits to new users so that you can evaluate the Service before committing to a paid subscription. These free credits allow you to explore the platform's features, run research queries, upload documents, and generate outputs, giving you a clear understanding of what the Service offers and the quality of results you can expect.
By using your free credits and subsequently subscribing to a paid plan, you acknowledge that you have had the opportunity to evaluate the Service and are making an informed decision to subscribe.
6. Subscriptions, Billing, and Refunds
Paid subscriptions are billed on a monthly or annual basis as selected at the time of purchase. By subscribing, you authorize us to charge the applicable fees to your chosen payment method on a recurring basis until you cancel.
Cancellation
You may cancel your subscription at any time through your account settings or by contacting us at support@curia.ca. Upon cancellation, your subscription will remain active until the end of the current billing period. You will not be charged for any subsequent billing periods after cancellation.
No Refunds for Used Service Periods
Because the Service consumes computational resources each time you run a query, analyze a document, or generate an output, we are unable to offer refunds or partial refunds for any billing period in which you have used the Service. Each use of the platform incurs real costs for processing, data retrieval, and analysis that cannot be recovered.
We encourage all users to take advantage of the free credits provided at signup to fully evaluate the Service before subscribing. By subscribing to a paid plan, you confirm that you have had adequate opportunity to assess the Service and understand the value it provides.
If you are dissatisfied with the Service, you are welcome to cancel your subscription at any time, and we will ensure no further charges are applied beyond the current billing cycle.
Waiver of Cooling-Off Period
By subscribing to a paid plan, you acknowledge and agree that performance of the Service begins immediately upon subscription activation and that you expressly waive any right of withdrawal or cooling-off period that may be available under applicable consumer protection legislation. Because the Service delivers digital content and computational resources immediately upon each use, the statutory conditions for a cooling-off period do not apply.
Chargebacks
You agree to contact us at support@curia.ca to resolve any billing disputes before initiating a chargeback or payment dispute with your bank or credit card provider. If you file a chargeback or payment dispute for charges that were validly incurred under these Terms, we reserve the right to immediately suspend or terminate your account and pursue recovery of the disputed amount along with any fees, costs, or expenses incurred as a result of the chargeback process.
Filing a chargeback for legitimate charges constitutes a breach of these Terms. We maintain records of account activity, usage logs, and acceptance of these Terms, which may be submitted as evidence in any chargeback dispute.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Share your account credentials with unauthorized third parties
- Attempt to reverse engineer, decompile, or disassemble the Service
- Interfere with or disrupt the integrity or performance of the Service
- Use automated scripts or bots to access the Service outside of authorized integrations
- Resell, redistribute, or sublicense access to the Service without our written consent
- Upload content that is malicious, harmful, or infringes on the rights of others
8. Your Content
You retain ownership of all documents, queries, and other content you submit to the Service ("Your Content"). By submitting Your Content, you grant us a limited, non-exclusive license to process, store, and analyze it solely for the purpose of providing the Service to you.
We do not use Your Content to train machine learning models, share it with other users, or disclose it to third parties except as necessary to provide the Service (e.g., sending queries to our language model providers for processing) or as required by law.
9. Intellectual Property
The Service, including its design, features, code, and branding, is the property of Curia Legal Technology Inc. and is protected by Canadian and international intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.
Outputs generated by the Service (such as memos, drafts, and analysis results) are provided for your use. However, the underlying technology, algorithms, and systems used to generate those outputs remain our property.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Curia and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from:
- Your use of or inability to use the Service
- Any errors, inaccuracies, or omissions in the content generated by the Service
- Any unauthorized access to or alteration of your data
- Any reliance on information provided by the Service without independent verification
Our total liability for any claim arising from or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any results will be complete or accurate.
12. Indemnification
You agree to indemnify, defend, and hold harmless Curia and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any rights of a third party.
13. Termination
We may suspend or terminate your access to the Service at our discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service will immediately cease.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you should discontinue use of the Service.
